Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Client") and HRL Infotechs ("we", "us", "our", "Company"), a technology and digital marketing company based in Jaipur, Rajasthan, India.

By creating an account, subscribing to any plan, or accessing or using any part of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund Policy, which are incorporated herein by reference.

HRL Infotechs provides an AI-powered marketing ecosystem designed to help businesses grow their online presence, generate leads, and drive revenue. Our services include but are not limited to:

The specific services, deliverables, and features available to you depend on your active subscription plan. We reserve the right to modify, add, or remove features from any plan with reasonable notice.

To use our services, you must meet the following requirements:

• You must be at least 18 years of age.
• You must be legally capable of entering into a binding contract under applicable law.
• If subscribing on behalf of a business, you must have the authority to bind that business to these Terms.
• You must not be located in a jurisdiction where the use of our services is prohibited by law.
• Your account must not have been previously suspended or terminated by HRL Infotechs for a violation of these Terms.

When you register with us, you are responsible for maintaining the security of your account and for all activity that occurs under it.

• You must provide accurate, complete, and up-to-date information during registration and keep it updated.
• You are responsible for keeping your login credentials confidential. Do not share your account access with unauthorised individuals.
• Notify us immediately at support@hrlinfotechs.com if you become aware of any unauthorised use of your account.
• We are not liable for any loss or damage arising from your failure to secure your account credentials.
• One subscription account is intended for use by one business entity. Sharing access across multiple unrelated businesses is not permitted.

Subscription Plans

Our services are offered on a monthly subscription basis. Your selected plan determines the scope of services, deliverables, and support level you receive. Plan details are available on our pricing page.

Automatic Renewal

Subscriptions automatically renew on your monthly billing date. By subscribing, you authorise HRL Infotechs and our payment processor (Razorpay) to charge your payment method on each renewal date until you cancel.

Pricing

All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will not apply to the current billing cycle — they take effect from the next renewal.

Failed Payments

If a payment fails, we will attempt to notify you via email. If the payment remains unsuccessful after reasonable attempts, your subscription may be paused or cancelled and access to services suspended until the outstanding amount is settled.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain full access to services until then. Subscription fees already charged are non-refundable. Please refer to our Refund Policy for full details.

You agree to use our services only for lawful purposes and in a manner consistent with these Terms. You must not use our services to:

• Violate any applicable local, national, or international law or regulation.
• Promote, facilitate, or engage in any fraudulent, deceptive, or misleading activity.
• Generate or distribute content that is defamatory, obscene, hateful, discriminatory, or otherwise harmful.
• Infringe upon the intellectual property, privacy, or other rights of any third party.
• Attempt to gain unauthorised access to our systems, platform, or the accounts of other users.
• Use automated means to scrape, harvest, or extract data from our platform without prior written consent.
• Interfere with or disrupt the integrity or performance of our services or infrastructure.
• Resell, sublicense, or commercially redistribute our services or platform access without explicit written permission.
• Provide false or misleading information about your business, industry, or intended use of the services.

We reserve the right to suspend or terminate your account immediately if we determine, at our sole discretion, that you have violated this Acceptable Use policy.

Our Property

The HRL Infotechs platform, technology, software, AI models, workflows, processes, branding, trademarks, and all proprietary systems are and remain the exclusive property of HRL Infotechs. Nothing in these Terms transfers any ownership of our intellectual property to you.

Delivered Content

Upon full payment for a billing period, all content and marketing materials created and delivered to you during that period — including blog posts, copy, reports, and campaign assets — become your property. You are free to use, publish, modify, and distribute this content for your business purposes without restriction.

Feedback

If you provide suggestions, ideas, or feedback about our services, you grant us a non-exclusive, royalty-free, perpetual licence to use that feedback for any purpose, including improving our products, without obligation to you.

To deliver our services effectively, you will provide us with business information, brand assets, access credentials, and other materials ("Client Materials"). With respect to these:

• You retain full ownership of all Client Materials you provide to us.
• You grant us a limited licence to use Client Materials solely for the purpose of delivering your subscribed services.
• You represent and warrant that you have the right to provide these materials and that they do not infringe any third-party rights.
• You are solely responsible for the accuracy and legality of the information you provide. We are not liable for outcomes resulting from inaccurate or misleading Client Materials.
• You are responsible for ensuring that any third-party platform credentials (e.g. Google Search Console, CMS access) you share with us are provided securely and with appropriate permissions.

Both parties acknowledge that during the course of the service relationship, they may have access to confidential information belonging to the other party.

• We will not disclose your business data, strategies, or proprietary information to any third party except as required to deliver your services or as required by law.
• You agree not to disclose our proprietary methodologies, AI processes, pricing structures, or internal systems to any third party.
• Confidentiality obligations survive the termination of your subscription for a period of two (2) years.

Our handling of your personal data is further governed by our Privacy Policy.

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, to the maximum extent permitted by applicable law.

• We do not warrant that our services will meet your specific business objectives or result in particular outcomes, including specific search rankings, traffic volumes, or revenue figures.
• We do not guarantee uninterrupted, error-free, or completely secure operation of our platform or services.
• Digital marketing results are influenced by numerous factors outside our control, including search engine algorithm changes, market competition, and your own website and business performance.
• We make no representation that content generated by AI will be error-free, and we encourage you to review all deliverables before publishing.

To the maximum extent permitted by applicable law, HRL Infotechs and its directors, employees, agents, and partners shall not be liable for any:

• Indirect, incidental, consequential, or punitive damages arising from your use of or inability to use our services.
• Loss of profits, revenue, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.
• Damages arising from third-party actions, including changes to search engine algorithms, platform policy updates, or market fluctuations.
• Errors, inaccuracies, or omissions in AI-generated content that you choose to publish without review.

In any case, our total cumulative liability to you for all claims arising from or relating to these Terms or our services shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

Termination by You

You may cancel your subscription at any time without penalty. Cancellation stops future billing and your access continues until the end of the current paid period. See our Refund Policy for what happens to charges already made.

Termination by Us

We reserve the right to suspend or terminate your account and access to services, with or without notice, if:

• You breach any provision of these Terms, including the Acceptable Use policy.
• Your subscription payment fails and remains unresolved after reasonable notice.
• We reasonably believe your use of the service poses a legal or reputational risk to HRL Infotechs or third parties.
• We are required to do so by law or a regulatory authority.

Effect of Termination

Upon termination, your access to our platform and services will cease. All content and deliverables already delivered to you remain yours. Any data you wish to export should be requested prior to termination. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, disclaimer, and limitation of liability clauses — will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or in connection with these Terms shall first be attempted to be resolved amicably through direct discussion between the parties. If a resolution cannot be reached within 30 days of written notice of the dispute, the matter shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Jaipur, Rajasthan, India.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a competent court.

We may revise these Terms from time to time to reflect changes in our services, technology, law, or business practices. When we make material changes, we will notify you via email or by posting a notice on our website at least 14 days before the changes take effect.

Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree with any changes, you may cancel your subscription before the changes take effect.
